Troubh Heisler represents small, mid-sized and large businesses in all aspects of their affairs requiring legal assistance from the point of initial organization and capitalization onward. We provide expert legal counsel with regard to the following areas of practice.

Formation. Our attorneys work with individuals and organizations to determine to the best way to structure and capitalize a business, whether it be a corporation, partnership, limited liability company or other form of venture. We provide ongoing representation of these organizations with regard to internal governance, as well as compliance with governmental filing requirements. We also represent individuals and organizations for assistance in business sales and acquisition transactions.

Financing. We provide counsel and representation to businesses for their financial planning and needs, from initial capitalization to later borrowings and restructuring. We also have extensive experience representing both small and large financial institutions in all types of financing transactions.

Real Estate. Our firm represents businesses in connection with all real estate matters, including acquisitions, sales, development projects and land use issues, and representation before municipal boards and state agencies.

Taxation. For more than twenty years, our attorneys have represented business organizations in the resolution of tax controversies, appearing before the Internal Revenue Service, Maine Bureau of Revenue Services, the United States Tax Court and the United States District Court. We also provide transactional tax planning services for businesses of all sizes.

Debtor/ Creditor Matters. We provide representation to businesses in connection with all of their debt collection and restructuring needs. Our considerable experience and expertise in representing businesses and organizations, including creditors' committees and trustees, with all of their matters before the United States Bankruptcy Court has been of strategic importance to our clients.

Regulatory Matters. Our attorneys also represent businesses before various regulatory authorities. We recognize that the scope of state and federal regulation is as broad as the businesses we represent. Whether in employment matters before the Maine Human Rights Commission, housing finance matters before the U.S. Department of HUD, tax matters before the Maine Revenue Service or the Property Tax Review Board, our clients benefit from experienced counsel and effective advocacy.

Legislative Matters. We recognize that some client matters are only capable of resolution in the legislative arena, and bills or legislation pending in Augusta can jeopardize our clients' interests. We have significant experience in representing clients before the Maine Legislature.
